The Moscow arbitration court will hold on Tuesday the main hearings on the suit of Promsvyazbank (PSB) requesting to annul the transaction on the exit of three non-state pension funds (NPF) of Bank’s capital on the eve of the announcement of its reorganization.

The plaintiff challenged the agreement dated 14 December 2017 between the PSB and the Dutch company Promsvyaz Capital B. V., through which brothers Dmitry and Alexey Ananeva was previously controlled by Promsvyazbank and related transactions, «mediating the purchase and sale of shares». In addition, the Bank requires you to apply the consequences of invalidity by recovery from the defendants, more than 16 billion rubles.

Defendants in the lawsuit, received by the court in January, are three former shareholder of PSB — NPF «the Future», NPF «Safmar» and NPF «Trust» their management company OOO «UK investment Management», JSC «IQ g asset Management», JSC «And g Kapital partners» and Promsvyaz Capital B. V.

The court at the previous meeting in October attached to the case materials reclaimed from Moscow exchange information about the trading volume in the shares of PSB in the six months to 14 December 2017. As reported in court, stock exchange representatives and PSB, the volume of transactions deviating from the average daily volume («candle» on the chart) falls on December 14. The court also adopted the amendment of the claim concerning the clarification of requirements to each of the defendants.

In the case file States that everything is interconnected, according to plaintiff, the transaction was committed on 14 December 2017, the day before the publication of the Bank of Russia of the decision on reorganization of PSB, during the period from 18.13 18.49 GMT on GMT. The defendants, as the plaintiff knew about the upcoming reorganization, as was the largest minority shareholder in PSB, which together belonged to the 20,02% of the ordinary shares of the Bank.

As of 29 November last year, the Ananiev brothers via Promsvyaz Capital B. V. owned from 50.03% stake in PSB, NPF «Future» — 10%, NPF «Safmar» — 6,19%, NPF «Doverie» — 3,81%. On reorganization of the Central Bank announced on 15 December, the day before the announcement of the pension funds out of the Bank’s capital. The Central Bank, in turn, said that he intends to conduct a financial investigation of transactions on the stock exchange of securities of the Bank on the eve of the announcement of the reorganization.
